Paid Event Host Agreement

Quick summary. You are the seller, organizer, and provider of every paid event you host. You authorize Don't Bail to operate the marketplace and collect attendee payments on your behalf. You remain responsible for delivering the event, complying with law, responding to guests, and satisfying event-related refund and tax obligations.

1. Parties and acceptance

This Paid Event Host Agreement ("Host Agreement") is between the paid-event host ("you" or "Host") and Lineup Labs (OPC) Private Limited ("Lineup", "Don't Bail", "we", or "us"). It supplements the Terms of Service, Privacy Policy, and Refund and Cancellation Policy.

You accept this version by affirmatively agreeing in Don't Bail. We record your account, legal name, version, acceptance time, and IP address. Each accepted version remains associated with events created under it.

2. Marketplace relationship

You are the seller, organizer, promoter, and provider of the underlying event service. Don't Bail is a marketplace intermediary and limited collection facilitator. Except for the express collection authority below, this Host Agreement does not create an employment, partnership, franchise, joint venture, fiduciary, or general agency relationship.

You authorize Don't Bail and its payment providers to collect attendee payments for your events, maintain transaction and admission records, deduct authorized amounts, process permitted reversals, and remit the resulting Host proceeds to your recorded payout destination.

3. Host eligibility and information

Paid events are initially limited to events in India priced in INR. You must maintain a verified Indian +91 mobile number, verified email, legal name, and valid payout details when creating or converting a paid event. You must provide accurate, current information and promptly update it when it changes.

We or a payment provider may request PAN, GSTIN, address, bank-beneficiary verification, business details, permits, or other information where required by law, provider rules, risk review, transaction volume, or payout method. We may restrict sales or payouts until requested information is verified.

You are solely responsible for:

You must not list a non-existent, unlawful, unsafe, misleading, or prohibited event or use Don't Bail for fraud, money laundering, sham transactions, payout manipulation, or evasion of provider controls.

5. Prices and Don't Bail fee

You choose the whole-rupee amount you want to receive per paid admission. Checkout displays your exact Host proceeds, Don't Bail's fee, and the guest total in integer paise. Don't Bail's initial transaction fee is 5% of the total guest payment, rounded half-up to the nearest paise. The guest total is calculated so the displayed Host proceeds remain exact.

Don't Bail currently absorbs ordinary payment-processing economics from its fee unless a future checkout and accepted agreement expressly disclose a different arrangement. Complimentary Host-guest admission has no payment and no transaction fee.

6. Admission, capacity, and host actions

A normal guest receives admission only after confirmed payment. Don't Bail may use a short, order-bound inventory hold while checkout is active and may reverse a late payment that cannot be fulfilled without exceeding capacity. Interested and waitlisted states do not themselves create admission.

You may grant complimentary Host-guest admission within capacity. Removing a paid guest ends their Going membership but preserves the paid entitlement; banning prevents rejoining. Neither action automatically creates a refund.

7. Cancellations, refunds, disputes, and reversals

You must not cancel or materially change an event without promptly updating Don't Bail and notifying affected guests. If you cancel through Don't Bail, you authorize us to initiate a full refund of each remaining captured guest payment for that event and to debit the resulting amount from pending proceeds, payouts, reserves, or other amounts owed to you.

Don't Bail does not independently adjudicate discretionary event-quality or attendee change-of-mind disputes. You are responsible for handling those requests and for refund or compensation obligations arising from your event. We may process an amount you authorize and may process a technical capacity reversal, duplicate-charge correction, payment-provider reversal, bank reversal, chargeback, fraud reversal, or refund required by law.

You remain liable for external reversals and related provider adjustments even after a payout. You authorize Don't Bail to recover those amounts from unpaid balances, pending or future earnings, payout reserves, or direct repayment. We will maintain an accounting record of each adjustment.

8. Payouts and payout destinations

Host earnings become eligible for payout after the event ends and the applicable hold expires; the initial standard hold is 24 hours. We may apply a longer hold for new accounts, payout-detail changes, unusual activity, disputes, chargebacks, suspected fraud, provider requirements, or legal compliance.

Manual payouts may be sent to the latest verified UPI or bank destination that was materialized for the event or payout. Changing your account does not guarantee that an already-processing payout can be redirected. We will use reasonable efforts to apply a verified change before processing, subject to security holds and operational feasibility.

Automatic payouts require an approved provider linked account and remain subject to the provider's KYC, eligibility, settlement, hold, fee, and availability rules. We may fall back to a lawful manual process if automated marketplace transfers are unavailable.

9. Taxes, invoices, and records

You are responsible for determining and satisfying taxes, registrations, invoices, receipts, withholding, returns, and recordkeeping applicable to your event supply and Host proceeds. Don't Bail may collect, report, deduct, or withhold amounts where applicable law requires and will not apply a tax deduction merely because it could apply to another seller or transaction.

Our ledger and payment-provider records govern platform accounting unless you show a specific error. You must retain records reasonably needed to substantiate your event supply and cooperate with payment, tax, consumer, chargeback, fraud, and legal inquiries.

10. Risk controls and enforcement

We may disable ticket sales, hold or cancel payouts, suspend or ban paid-event access, archive an event, request verification, or flag an event, payment, payout, account, or destination where reasonably necessary for safety, fraud prevention, provider compliance, disputes, legal obligations, or protection of users and the marketplace.

We may preserve paid-event, acceptance, payment, admission, payout, cancellation, and audit records after an event or account is closed where needed for reconciliation, disputes, fraud prevention, tax, accounting, or legal compliance.

11. Indemnity and liability

You will indemnify and hold harmless Lineup and its officers, personnel, and service providers from third-party claims, losses, penalties, taxes, reversals, chargebacks, costs, and reasonable legal fees arising from your event, listing, venue, personnel, law or permit breach, tax obligation, consumer dispute, misconduct, or breach of this Host Agreement, except to the extent caused by Lineup's own unlawful conduct.

The disclaimers, exclusions, mandatory-law savings, and liability limits in the Terms of Service apply to this Host Agreement.

12. Changes and termination

We may issue a new Host Agreement version for future paid events. Material changes require fresh acceptance before you create or convert another paid event. Existing transactions, recovery rights, payment records, and obligations survive suspension, account deletion, event completion, and termination.
